Observing the provisions set forth in CVM Instruction No. 358/02, CCR S.A. (“CCR” or “Company”) (BM&FBovespa: CCRO3; Bloomberg: CCRO3 BZ; Reuters: CCRO3.SA) announces to its shareholders and to the market in general that, concerning the news articles broadcasted by the media this last week, the Company clarifies that, in line with its commitment to promote the social, economic and environmental development of the regions in which it works, since its foundation, CCR sponsors sports projects and events in partnership with several companies. All initiatives strictly comply with the current laws and with the conduct rules provided for by the Company’s Ethic Conduct Code and in the Clean Company Policy.

Between 2009 and 2012, under our policy of sports sponsorship, CCR and part of its other concessionaires have entered into agreements with the Rockstar company to sponsor several sports events, such as Rescue Teams for the Truck Race (Formula Truck), Rescue Teams for the Stock Car, São Paulo City’s Biking Championship (Campeonato Paulista de Ciclismo), StockLight Car Racing Team, Star Racing Team and Brazilian Championship Montana Cup.

The agreements were signed, duly accounted for and all the receipts of the implementation of the services hires are duly cataloged and registered.

The partnerships met the goal of disclosing the brand in the mass media through decals in vehicles of the rescue teams of the races and championships, road signs, as well as other advertising spaces, reinforcing the traits of speed, efficiency and safety in the provision of services to its users.

On June 02, 2012, CCR was caught by surprise with the addition of the company Rock Star Produções in Veja magazine’s news article, which detailed information of alleged irregularities related to the said company. The Company immediately requested clarifications on the news disclosed and carried out an internal investigation to assess the facts.

In the Company’s understanding there were possible non-compliances regarding the transparency and ethical behavior that guide CCR’s operations, therefore, it decided to terminate the agreements with the Rockstar company.

The Company has an Integrity and Compliance Program ensuring the ethics and transparency in all the management’s procedures and together with all the audiences with which it has a relationship, therefore the said news articles led to an internal investigation.

As a company listed on B3’s Novo Mercado (BM&F Bovespa), CCR is nationally and internationally recognized for adopting the strictest corporate governance practices and does not make donations for election campaigns.
