MATERIAL FACT

CCR S.A. (“CCR” or “the Company”) (B3: CCRO3; Bloomberg: CCRO3BZ; Reuters: CCRO3.SA), in compliance with the provisions of Article 157, 4th paragraph, of Law No. 6,404, dated December 15, 1976 and of Instruction No. 358 of the Brazilian Securities and Exchange Commission No. 358, dated January 3, 2002, and in addition to the Notice of Material Fact disclosed on February 28th, 2018, hereby states that the Company was informed by the Independent Committee of the following:

(a) Mr. André Béla Jánszky, consultant, and Mr. Carlos Mário da Silva Velloso, former judge of the Federal Supreme Court, both joined the Committee alongside the Company’s Independent Directors, Mr. Luiz Alberto Colonna osman and Mr. Wilson Nélio Brumer.

(b) The legal advisors of the Independent Committee in the context of the investigations will be TozziniFreire Advogados and an international Law firm will be engaged soon. Additionally, Control Risks, an international consulting firm specialized in conducting corporate investigation procedures, was engaged by TozziniFreire Advogados to advise on the investigation. The Committee thus intends to assure that the investigation procedures comply with both Brazilian legislation and the highest international standards, also in attention to the significant number of foreign investors within the Company’s shareholder base.

The Independent Committee, by the end of the investigation, will report the findings to the Board of Directors.
