Pursuant to CVM Instruction 358, CCR S.A. (“CCR”/”Company”) (BM&FBovespa:CCRO3; Bloomberg:CCRO3BZ; Reuters:CCRO3.SA) hereby informs its shareholders and the market in general that, on this day, the following highway concessionaires, Concessionária do Sistema Anhangüera-Bandeirantes S.A. (“AUTOBAN”), Concessionária de Rodovias do Oeste S.A. – ViaOeste (“VIAOESTE”), Concessionária do RodoAnel Oeste S.A. (“RODOANEL OESTE”) and Rodovias Integradas do Oeste S.A. (“SPVIAS”), controlled by CCR, and Renovias Concessionária S.A. (“RENOVIAS”), jointly controlled by CCR (“CONCESSIONAIRES”), received written notification from ARTESP – São Paulo State Transport Regulatory Agency (“REGULATORY AGENCY”) related to the annual toll tariff adjustments to become effective as of July 1, 2014, calculated using a different index than that envisaged in the respective Concession Agreements.

Considering that:

1. The CONCESSIONAIRES manage important highways in the state of São Paulo in strict compliance with the respective Concession Agreements, providing their users with public services of the highest quality that are recognized internationally;

2. There are clear rules governing the highway concessions, contained in the respective agreements, which determine the rights and obligations of both parties, including the obligation to effect annual tariff adjustments through the direct application of the IPCA consumer price index. In addition, these rules are separate from others, also envisaged in the Concession Agreements, related to the rebalancing of the agreements in the case of prior differences;

3. Given the current moment through which the country’s infrastructure is passing, characterized by a lack of funds for improvements and modernization, the participation of private companies, both national and international, will be essential as investors and financing agents, in turn requiring the preservation of the stability of the agreements entered into as a factor of regulatory security; and

4. The CONCESSIONAIRES have a long-term partnership with the São Paulo State Government, whose highway concession program has, until now, been based on regularity and has assured the best conditions for the development of the state and the country as a whole;

The Company and the CONCESSIONAIRES hereby declare that they disagree with the decision of the REGULATORY AGENCY and that they will take the necessary measures to defend their interests and contractually assured rights.
