Pursuant to CVM Instruction No. 358, CCR S.A. (“CCR” / “Company”) (Bovespa: CCRO3; Bloomberg: CCRO3BZ; Reuters: CCRO3.SA) announces to its shareholders and the market in general that, on this date, it entered into a Private Instrument of Agreement of Purchase and Sale of Shares and Other Covenants (“Agreement”), under suspensive conditions, with ODEBRECHT RODOVIAS S.A. (“ODB”), with the intervention-approval and guarantee of ODEBRECHT TRANSPORT S.A (“OTP”) and with the intervention-approval of Concessionária ViaRio S.A. (“ViaRio”), for the acquisition all of ODB’s shareholding in ViaRio, corresponding to 33.33% (thirty-three point thirty-three percent) of the share capital, subject to the terms set out in the Shareholders‘ Agreement of ViaRio. The total amount of the acquisition is of R$107,690,000.00 (one hundred and seven million, six hundred ninety thousand reais), to be updated on this date as the Agreement.

The Agreement provides that the consummation of the acquisition and the payment of the price are subject to the fulfillment of precedent conditions, among which is the attainment of the approval from the Licensing Power, from lenders and from the Administrative Council for Economic Defense – CADE (Conselho Administrativo de Defesa Econômica).

ViaRio is the concessionaire responsible, through a concession with a term of 35 (thirty-five) years, for the deployment, operation, maintenance, monitoring, conservation and improvements of the Ligação Transolímpica, an expressway with an extension of 13 (thirteen) kilometers that connects the Deodoro neighborhood to the Barra da Tijuca neighborhood in the City of Rio de Janeiro.

ViaRio has the following as shareholders: Company, which currently holds 33.33% (thirty-three point thirty-three percent) of the shares representing its share capital, ODB, which holds 33.33% (thirty-three point thirty-three percent) of the shares representing its share capital, subject matter of the agreement, and Investimentos e Participações em Infraestrutura S.A. – Invepar, which holds 33.34% (thirty-three point thirty-four percent) of the shares representing the share capital.
