MATERIAL FACT

CCR S.A. (“Company”) (B3: CCRO3; Bloomberg: CCRO3 BZ; Reuters: CCRO3.SA) hereby informs its shareholders and the market in general that today the Special Commission for International Competitive Bidding 01/2020 (“Bidding”), held by the São Paulo state government, through the Metropolitan Transportation  – STM (“STM”), announced that the bid submitted by Consórcio ViaMobilidade Linhas 8 and 9 (“CONSORTIUM”), formed by CCR, as the leader (80%), and Ruasinvest Participações S.A. (20%), for the execution, in onerous concession regime of the public service rendering of passengers transportation, on rails, of the Lines 8 – Diamond and 9 – Emerald of the São Paulo Metropolitan Region metropolitan trains network, comprising operation, maintenance, conservation, improvements and expansion (“CONCESSION”), waiting for the CONSORTIUM’s qualification documents analysis and respective bid winner’s declaration, with consequent concession awarding.

The CONSORTIUM won the bidding process by offering the highest amount, in local currency, as payment for the CONCESSION’s fixed concession fees, totaling nine hundred and eighty million reais (R$980,000,000.00).

The CONCESSION will have a term of thirty (30) years, beginning on the date the commercial operation initiation order of Lines 8 – Diamond and 9 – Emerald are issued.
