MATERIAL FACT

CCR S.A. (“Company”) (B3: CCRO3; Bloomberg: CCRO3 BZ; Reuters: CCRO3.SA), in continuity with the Notice to the Market released on November 25, 2020, hereby informs that it has signed Amendment Term 007/2020 (“Amendment”) to the Airport Concession Agreement 002/ANAC/2014-SBCF – Edital 001/2013 for the Aeroporto Internacional Tancredo Neves/Confins international airport (“Concession Agreement”) between its indirect subsidiary Concessionária do Aeroporto Internacional de Confins S.A. (“BH Airport”) and the National Civil Aviation Agency (“ANAC”).

The purpose of the Amendment is to reschedule the fixed payments due, pursuant to article 1 of Law 13,499/2017, and article 8, item XXIV, of Law 11,182/2005. As a result of this rescheduling, the amount for the fixed payment due on December 18, 2020 was reduced by 50%, totaling R$42,617,648.42. The remaining balance of the original fixed payment amount due on December 18, 2020 will be distributed throughout the fixed payments to be paid from 2038 to 2043. The Amendment also provides for the extension of the maturity dates on the fixed payments from 2021 to 2025, from May 7 to December 18 of each year.

The fixed and variable payments due on December 18, 2020, by BH Airport, were deducted from the credit generated by the financial rebalancing of the Concession Agreement, in the amount of R$111,106,944.50, as approved by the ANAC’s Board of Directors Resolution 215, of November 25, 2020, arising from the losses caused by the COVID-19 pandemic. The remaining balance of this credit shall be discounted from the fixed and variable payments due in 2021.

The signing of the Amendment to the Concession Agreement concludes yet another important stage of CCR Group’s strategic planning, which aims towards the qualified growth of its business and adding value to its shareholders.
