CCR S.A. (“Company” or “CCR”) (B3: CCRO3; Bloomberg: CCRO3 BZ; Reuters: CCRO3.SA), further to the Material Fact disclosed on July 1st, 2022, hereby communicates that the Board of Directors of the Regulatory Agency for Delegated Public Transportation Services of the São Paulo State (“ARTESP”), within the scope of Case ARTESP-PRC-2022/04426, published, today, in the Official Gazette of the State of São Paulo, its decision to fully comply with the provisions of the São Paulo State Logistics and Transportation Secretariat, which recognize the need to rebalance the concession agreements of the state highway concessionaires, among which those that are part of the CCR Group, Concessionária do Sistema Anhangüera-Bandeirantes S.A. (“AutoBAn”), Rodovias Integradas do Oeste S.A. (“SPVias”), Concessionária de Rodovias do Oeste de São Paulo – ViaOeste S.A. (“ViaOeste”), Rodovias Integradas do Oeste S.A. (“RodoAnel”), and Renovias Concessionária S.A. (“Renovias”), due to the absence of tariff adjustment as of July 1st, 2022. The decision also establishes that the tariff adjustment will be made by December 31, 2022, and the respective concession agreements will be rebalanced through financial indemnification paid every two months until the tariff adjustment is made. The first payment will be made on the last business day of August 2022, and measures shall be adopted to make amendments to the concession agreements, so as to reflect this provision.

The Company will keep its shareholders and the market in general duly informed of any developments related to this matter.
